RUO.bio reserves the right to deny access to the Website and sales of products to any underage or unqualified individuals.
The statements and information provided on the Website have not been evaluated by the U.S. Food and Drug Administration (FDA). Products sold by RUO.bio or on the Website are not intended to diagnose, treat, cure, or prevent any disease; and no information on the Website should be construed as medical advice. RUO.bio is a research-use-only (RUO) chemical supplier and not a compounding pharmacy, medical provider, or outsourcing facility under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. Any communication by the Customer which leads us to believe that the Customer will use or intends to use our products in a manner other than that for which they are intended will result in a “Refusal to Sell” alert or a “Blacklist” email being sent to the Customer. This means the Customer will no longer be able to make purchases on the Website. All collected information will be added to our internal “Banned” database, which every order is checked against. If the Customer receives a ban, it is permanent. RUO.bio will not, under any circumstances, tolerate the misuse of the Website or the products sold on the Website.

RUO.bio assumes that the Customer is familiar with the products being purchased, and does not provide any type of guidelines or suggestions regarding use of the products. If a Customer asks us for such information, then the Customer will be answered with a “Refusal to Provide Guidelines” email. The Customer acknowledges that any request for usage guidelines may be considered evidence of lack of qualification and may result in order cancellation and/or account termination.
The Customer represents and warrants that the Customer is affiliated with a laboratory, institution, university, or other research-based facility which is purchasing and using the products sold by RUO.bio for research purposes only. RUO.bio reserves the right to perform due diligence screening upon receiving an order, and RUO.bio, in its sole and absolute discretion, may require verification of affiliation prior to order fulfillment. The Customer agrees to provide such verification within five (5) business days of request. Failure to provide verification within this timeframe shall result in automatic order cancellation without refund of any deposits or fees paid.
Unless otherwise specified, the Customer’s use of the Website is governed by these Terms. In using the Website, the Customer is prohibited from modifying, distributing, transmitting, reproducing, publishing, licensing, transferring, or selling any information, products, or services obtained or viewed on the Website. The Customer may, however, display, download, or print hard copies of any material contained on the Website for the Customer’s own internal, non-commercial research use, as long as the Customer does not modify the content or delete any copyright, trademark, or other proprietary notice. Any other use of the information contained on the Website is prohibited without our express prior written consent. Unauthorized use may result in immediate account termination and legal action.
We reserve the right to correct any inaccuracies or typographical errors in the information posted on the Website and shall have no liability for such inaccuracies or errors. The Customer agrees to provide current, complete, and accurate purchase information, including payment and contact information, for all purchases made on the Website. We reserve the right to refuse or cancel any order at our sole discretion, including after payment has been received. In the event of order cancellation, our sole obligation shall be to refund the purchase price paid, and we shall have no liability for any consequential, incidental, or indirect damages.

RUO.bio reserves the right to modify or terminate its affiliate program or terms at any time in its sole discretion, with or without notice. Violations of affiliate program policies, including, but not limited to:
will result in immediate termination of the affiliate account and forfeiture of any unpaid commissions, without any refund or compensation. Terminated affiliates are permanently barred from re-enrolling in the program. RUO.bio’s determination of a violation shall be final and binding.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. The parties agree to attempt, in good faith, to resolve any dispute related to these Terms through informal negotiation for thirty (30) days prior to commencing any formal dispute resolution proceedings. Failure to comply with this informal negotiation requirement shall result in dismissal of any arbitration or court proceeding without prejudice, and the non-complying party shall bear all costs and fees incurred by the other party in connection with such premature filing. Any unresolved disputes arising out of or relating to these Terms, including disputes regarding the validity, interpretation, breach, or termination of these Terms, shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted in Wyoming, and judgment on the arbitration award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys’ fees; provided, however, that the prevailing party in any arbitration or litigation shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party. Notwithstanding the foregoing, RUO.bio may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to enforce payment obligations, without the requirement of posting a bond. The Customer may seek injunctive relief only in Wyoming state or federal courts.
These Terms and any terms and agreements expressly incorporated herein by reference constitute the sole and entire agreement between you and RUO.bio regarding the Website and the purchase and use of products, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, relating to the subject matter hereof. No amendment, modification, or waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized officer of RUO.bio. RUO.bio shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including, without limitation, acts of God, war, terrorism, civil unrest, government actions, labor disputes, supplier failures, transportation disruptions, delays due to back orders of requested products, mail delays, customs delays, or lost shipments. RUO.bio shall not be responsible to notify the Customer in the event of such delays, though it may do so as a courtesy. The Customer shall be solely responsible to make other arrangements to purchase alternative products and cover any costs incurred in connection with such purchases. In the event of a force majeure lasting more than ninety (90) days, either party may terminate the affected order without liability.
